How can i overwrite WindowsXP with Windows2000 Server?

You can't downgrade... you'll have to format and do a clean install.

How exactly, i tried once but it didn't work.

Just grab a Win98 boot disk--it has fdisk.
Then when you boot up, just type fdisk at the prompt. There will be onscreen instructions. After you format and partition it, just stick the Win2k CD in the CD drive. Make sure you have your CD drive set to boot first.

just put in the Win2k cd and boot from it and it'll offer you to format or repartionize your HD.
I don't think fdisk and NTFS partitions get along too well, or they didn't used to anyway.
